How these terms are structured. DesignFlow OS is a suite of products operated by Lapunne Limited. These Terms have:
By using our websites, or purchasing or using any DesignFlow OS product, you agree to Part A and to the Schedule for the product(s) you use. If you do not agree, do not use our websites or products.
The suite comprises: the Folder Structure Guide (free), Studio OS, DesignFlow AI, Counsel, Snagflow, and DesignFlow Academy (including the SOP Library).
DesignFlow OS is operated by Lapunne Limited, registered in England and Wales. "We", "us", and "our" refer to Lapunne Limited; "you" refers to the user, purchaser, or visitor. Payments may appear on your statement as Lapunne Limited or Pay Lapunne.
Where a product requires an account, you must provide accurate information and keep your login secure. You are responsible for activity under your account. You must provide a valid email address at purchase so we can deliver your product.
This applies across the entire suite and is fundamental to your use of it:
DesignFlow OS products provide structure, tools, templates, and AI-assisted outputs to support professional work. They do not constitute professional architectural, engineering, legal, contractual, regulatory, or financial advice, and they do not replace professional judgement, statutory obligations, or contractual responsibilities.
You remain solely responsible for: reviewing, adapting and verifying all outputs and templates before use; exercising your own professional judgement; and ensuring compliance with all applicable laws, regulations, professional standards, and contracts. Any output produced with the help of a DesignFlow OS product is a draft for your review — you are accountable for what you issue, rely on, or act upon.
You may not use any DesignFlow OS product to break the law, infringe others' rights, or attempt to copy, resell, redistribute, sublicense, reverse-engineer, or publicly share the product except as expressly permitted in its Schedule.
Website content is provided for general information only and may change without notice. We make no warranties as to accuracy, completeness, or fitness for a particular purpose. Use of website information is at your own risk.
Our products and websites rely on or link to third-party services (including Notion, Anthropic, Supabase, Stripe, GoModern, and Cloudflare). We are not responsible for the content, terms, availability, pricing, or discontinuation of third-party services. Your use of them is subject to their own terms.
All content within DesignFlow OS products — templates, workflows, specialists, prompts, text, structure, graphics, and instructional content — is owned by or licensed to Lapunne Limited. Your rights to use each product are set out in its Schedule. Except as expressly permitted, you may not resell, redistribute, sublicense, reproduce, adapt, or publicly share any product.
Prices are shown on the relevant product page and may change for future purchases. Payment is processed securely by our payment providers. Subscription terms (where applicable) are set out in the product Schedule.
All DesignFlow OS digital products are delivered electronically and, once delivered, cannot be retrieved. Refund terms are set out in each Schedule. By purchasing and accessing a digital product, you acknowledge that you receive immediate access and, where applicable, agree to waive any statutory cancellation ("cooling-off") right that would otherwise apply once download or access has begun.
We may modify, update, improve, or discontinue any product at any time, and may replace a product with a revised or successor version. Where a product is discontinued, we will give reasonable notice where practicable. No refund is due on discontinuation where access has already been granted. "Lifetime access," where offered, means access to the version purchased for as long as the product is actively maintained and made available by us — it does not refer to the lifetime of the purchaser, and it is subject to the continued availability of any third-party platform the product depends on (e.g. Notion).
Products are provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties that any product will be uninterrupted, error-free, or fit for a particular purpose.
To the fullest extent permitted by law, Lapunne Limited shall not be liable for: indirect or consequential loss; loss of business, profit, data, contracts, or opportunity; or any loss arising from your use, misuse, or reliance on any DesignFlow OS product or its outputs, including any professional, contractual, or regulatory decision you make in connection with them. Our total aggregate liability for any claim shall not exceed the amount you paid for the relevant product in the twelve months before the claim. Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded (including for death or personal injury caused by negligence, or for fraud).
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
A free guide (PDF) and folder-structure template (downloadable file) provided in exchange for your email address. Provided "as is" for your own use. You may use and adapt it within your own practice; you may not resell or redistribute it. As a free product, no payment or refund terms apply. We may email you about related products; you can unsubscribe at any time.
A digital workspace template built within Notion, delivered via a downloadable PDF containing a private duplication link. It is not standalone software; it operates within Notion and is subject to Notion's terms. Access is granted immediately on purchase. All sales are final — as a downloadable digital product that cannot be retrieved once delivered, no refunds, exchanges, or cancellations are available once access has been provided. You may use Studio OS within your own studio; you may not resell, redistribute, sublicense, or publicly share it. "Lifetime access" is as defined in clause 10.
A downloadable pack of approximately 90 AI specialists, a Firm Voice Calibrator, and automation schedules, which you install into your own Claude (Anthropic) environment and run on your own project information, typically alongside Studio OS. Delivered digitally; access granted immediately on purchase. All sales are final — no refunds once delivered, as the product is downloadable and cannot be retrieved.
Licence. You are granted a non-exclusive, non-transferable licence to use the specialists, Voice Calibrator, and schedules within your own practice, on any number of your own projects and clients. You may not: resell, redistribute, sublicense, share, publish, or otherwise make the specialists or their underlying prompts/content available to any third party; nor reproduce or adapt them for resale or distribution. The specialists and their content remain the intellectual property of Lapunne Limited.
Your responsibilities. Because DesignFlow AI runs in your own AI environment on your own data, you are responsible for your own use of Anthropic and Notion (under their terms), your own client confidentiality, and your own professional and regulatory compliance. Outputs are drafts for your review under clause 3.
Updates. The pack is version-controlled. Updates and the current setup are provided to subscribers of the DesignFlow Academy update subscription (see Schedule 6). A one-time purchase entitles you to the version purchased; ongoing updates require an active Academy subscription.
Counsel is an AI-assisted project adviser and reporting tool for construction professionals, provided as a web application. Your use is also governed by the Counsel Privacy Notice (Part B1 of the Privacy Policy), which you accept on creating an account.
Counsel-specific disclaimer. Counsel reads project information and produces analysis, suggestions, and report drafts, and (via Ask Counsel) responds to questions about your project or the construction domain. All Counsel outputs — including reports, analysis, recommendations, and answers about contracts, legislation, or process — are AI-generated drafts and informational starting points only. They do not constitute professional, legal, contractual, or regulatory advice, do not represent a definitive interpretation of any contract or law, and do not replace the judgement of a qualified professional. You must review, verify, and take professional responsibility for every output before relying on it, issuing it, or acting on it. You remain solely accountable for all professional decisions.
Pricing and billing. Pay-as-you-go: report credits are purchased and consumed when a report is generated (extraction and review are free; a credit is used at generation). Credits do not expire but are non-refundable. Counsel subscription (per seat): unlimited reports and full features while active. Firm/Enterprise: terms agreed individually, including any white-label or customisation arrangement.
Fair use and per-seat licensing. The Counsel subscription is licensed per individual user (per seat). Each subscription entitles one named person to use Counsel. You may not share account credentials, allow multiple people to use a single seat, or otherwise provide access to anyone other than the named subscriber. Where more than one person in a firm uses Counsel, each requires their own seat; firms requiring multiple seats or team access should use our Firm plan (contact us).
Where a plan is described as offering “unlimited” reports, “unlimited” means unlimited reports for the normal individual professional use of a single named user. It is not a licence for: use by more than one person under a single seat; automated, scripted, or bulk generation of reports; resale or provision of reports as a service to third parties; or any use materially beyond the volume a single working professional would generate in the ordinary course of their work.
We reserve the right, where an account’s usage indicates credential-sharing, automated or bulk generation, or volumes materially inconsistent with single-user professional use, to: contact you to discuss your usage; require you to upgrade to an appropriate number of seats or to the Firm plan; apply reasonable rate limits; or, where such use continues, suspend or terminate the account. We will act reasonably and, other than in cases of clear abuse, give you the opportunity to regularise your usage first.
Cancellation. You may cancel the Counsel subscription at any time; cancellation stops future billing from the next billing date. No refund is given for the current paid period or for purchased credits.
Data. Documents are processed in memory and never stored; data is held in the UK (Supabase, London); see Part B1 of the Privacy Policy for full detail.
Snagflow is a mobile-first site inspection and snagging product, currently in development. Terms specific to Snagflow — including delivery, pricing, and data handling — will be published when Snagflow launches. Joining the waitlist places you under no obligation and is governed by Part A and our Privacy Policy.
SOP Library (one-time purchase). A library of standard operating procedure documents, delivered digitally and operating within Notion where applicable. Access granted immediately; all sales final, no refunds once delivered. Use within your own practice; no resale or redistribution.
Academy subscription. Provides ongoing learning content and the version-controlled updates to DesignFlow AI (see Schedule 3). You may cancel at any time; cancellation stops future billing from the next billing date, with no refund for the current paid period. While subscribed, you receive the current learning content and AI-pack updates; on cancellation, access to ongoing updates and subscriber content ends, but any version you have already downloaded remains yours under its original licence.
Courses / Bootcamp (coming). Cohort-based courses and intensive programmes will have their own booking terms (including any cohort cancellation/transfer terms) published when offered.
